Terms of Service / 服務條款


0. Bilingual Clause / 語言條款

The English version is the authoritative text. The Chinese (Traditional) version is provided for convenience and understanding. If there is any inconsistency between the two, the English version prevails, except where mandatorily required otherwise by applicable consumer-protection laws.

英文版本為正式權威版本。繁體中文版本僅為方便用戶閱讀及理解之用。若兩者有任何 歧異,除適用消費者保護法律強制規定另有要求外,一概以英文版本為準。


1. Who We Are and What These Terms Cover / 本公司及條款適用範圍

1.1 "mii.events" (the "Service", "Platform", "we", "us", "our") is an online event-management platform operated by mii.events Management (the "Operator"). The Service provides tools for event organisers to create event websites, manage guest lists, send invitations, run check-in, and purchase optional paid features.

「mii.events」(「服務」、「平台」、「我們」、「本公司」) 為由 mii.events Management(「營運商」)營運之線上活動管理平台。本服 務為活動主辦方提供建立活動網站、管理賓客名單、發送邀請、進行入場登記,以及 選購額外付費功能之工具。

1.2 These Terms of Service (these "Terms") form a binding legal agreement between you and the Operator. By creating an account, logging in, clicking "I agree", continuing to use the Platform, or submitting an RSVP through an event website hosted on the Platform, you accept these Terms.

本服務條款(以下稱「本條款」)構成閣下與營運商之間具法律約束力的合約。當 閣下建立帳戶、登入、點擊「我同意」、繼續使用本平台或透過本平台所託管之活動網 站提交回覆 (RSVP) 時,即視為接受本條款。

1.3 If you do not agree, do not use the Service.

如閣下不同意本條款,請勿使用本服務。


2. Account Roles / 帳戶角色

The Platform supports the following role hierarchy. Different roles have different rights and obligations under these Terms.

本平台採用以下角色層級。不同角色在本條款下享有不同的權利及義務。

Role / 角色 Description / 描述
Master Platform super-administrator operated by us internally. / 由本公司內部營運的平台最高管理員。
Admin Organisational administrator who manages Agents. / 負責管理 Agent 的組織管理員。
Agent Authorised reseller / event planner who manages Clients on behalf of end customers. / 代表最終客戶管理 Client 的授權轉售方或活動策劃人。
Client (Event Host) End customer (e.g. couple, corporate, organiser) who owns events. / 擁有活動(如新人、企業、主辦方)的最終客戶(活動主辦方)。
Guest Invitee who interacts with a public event website (RSVP, check-in). / 透過公開活動網站互動(回覆邀請、入場登記)的受邀者。

Wherever these Terms refer to "you" or "User", they refer to the person actually interacting with the Platform in the applicable role.

凡本條款提及「閣下」或「用戶」,均指以相關角色實際使用本平台的人士。


3. Eligibility / 使用資格

3.1 You must be at least 18 years old, or the age of majority in your jurisdiction, whichever is higher, to register an Admin / Agent / Client account. Guests who RSVP through an event website may be under 18, but must do so with the consent of a parent or legal guardian where required by applicable law.

閣下必須年滿十八歲或達到所在司法管轄區法定成年年齡(以較高者為準),方可註冊 Admin、Agent 或 Client 帳戶。透過活動網站回覆邀請之賓客可未滿十八歲,惟於適 用法律要求時,須取得父母或法定監護人之同意。

3.2 You represent that all registration information you provide is true, accurate, current, and complete, and that you will keep it updated.

閣下聲明所提供之所有註冊資料均為真實、準確、最新及完整,並承諾持續更新該等 資料。

3.3 You are solely responsible for maintaining the confidentiality of your login credentials. Activities carried out through your account are deemed to be your acts.

閣下須自行妥善保管登入憑證之機密性。透過閣下帳戶進行之所有活動均視為閣下本人 之行為。


4. Licence to Use the Platform / 平台使用授權

4.1 Subject to these Terms, the Operator grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service solely for the lawful purposes described in these Terms, in accordance with your subscribed plan and any entitlements you have purchased.

在遵守本條款的前提下,營運商授予閣下一項有限的、非獨家的、不可轉讓、不可再 授權且可撤銷的授權,允許閣下僅按本條款所述之合法目的、所訂購計劃及已購買之 權益使用本服務。

4.2 You must not, and must not permit any third party to:

閣下不得(亦不得允許任何第三方):

  1. reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Service; 對本服務進行逆向工程、反編譯、反組譯或嘗試取得原始程式碼;
  2. scrape, crawl, harvest, or otherwise extract data from the Service by automated means, other than via APIs that we expressly authorise; 以自動化方式抓取、爬取、收集或以其他方法從本服務擷取資料,除非經我們明確 授權之 API;
  3. use the Service to build a competing product or to benchmark against any competing product; 利用本服務建立競爭產品,或對競爭產品進行基準測試;
  4. upload, send, or otherwise transmit any content that is unlawful, infringing, defamatory, obscene, harassing, sexually explicit involving minors, discriminatory, or that violates third-party rights; 上載、傳送或以其他方式傳輸任何違法、侵權、誹謗、淫穢、騷擾、涉及未成年人 之色情、歧視或侵犯第三方權利之內容;
  5. use the Service to send spam, unsolicited commercial communications, or messages that violate anti-spam or applicable third-party messaging service policies; 利用本服務發送垃圾訊息、未經同意之商業通訊,或違反反垃圾訊息或適用第三方 通訊服務政策之訊息;
  6. interfere with or disrupt the integrity, security, or performance of the Service; 干擾或破壞本服務之完整性、安全性或運作;
  7. attempt to bypass any rate limit, entitlement check, bot-protection, or authentication mechanism; 嘗試繞過任何流量限制、權益檢查、機器人防護或身份驗證機制;
  8. use the Service in any way that violates export controls, sanctions, privacy, or other applicable laws. 以任何違反出口管制、制裁、隱私或其他適用法律之方式使用本服務。

5. User Content and Data / 用戶內容及資料

5.1 "User Content" means any content, data, text, images, video, guest lists, messages, floor plans, branding, or other material that you or your guests submit to, upload to, or process through the Service (including personal data of your guests).

「用戶內容」指閣下或閣下賓客向本服務提交、上載或處理之一切內容、資料、文 字、圖像、影片、賓客名單、訊息、平面圖、品牌素材或其他資料(包括閣下賓客之 個人資料)。

5.2 As between you and us, you (or your Client, as applicable) retain all intellectual-property rights in your User Content. You grant the Operator a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, transmit, display, and process User Content solely to the extent necessary to provide, secure, and improve the Service, and to comply with legal obligations. This licence terminates when you delete the User Content or close the account, subject to reasonable backup retention and Section 14 (Suspension & Termination).

就閣下與我們之間而言,閣下(或適用情況下之閣下 Client)保留用戶內容之全部 智慧財產權。閣下授予營運商一項全球性、非獨家、免版權費之授權,僅以提供、保 障及改進本服務以及履行法律義務之必要範圍為限,託管、儲存、重製、傳輸、展示 及處理用戶內容。此授權於閣下刪除用戶內容或關閉帳戶時終止,惟須遵守合理之備 份保留期限及第 14 條(暫停與終止)之規定。

5.3 You are the data controller of guest personal data that you upload to run your events. The Operator acts as a data processor on your behalf. The Operator's processing is further described in the Privacy Policy. You are responsible for obtaining all consents and lawful bases required to upload and use such personal data, and for honouring data-subject rights requests from your guests.

就閣下為舉辦活動而上載之賓客個人資料,閣下為資料控制者,營運商則代表閣下 作為資料處理者。有關處理方式詳見私隱政策。閣下負責取得上載及使用該等個 人資料所需之一切同意及合法依據,並負責回應賓客之資料當事人權利請求。

5.4 We may remove, refuse to publish, or restrict access to any User Content that we reasonably believe violates these Terms, infringes third-party rights, or exposes the Platform to legal or reputational risk.

如我們合理認為任何用戶內容違反本條款、侵犯第三方權利或使本平台承受法律或聲 譽風險,我們可移除、拒絕刊登或限制存取該等內容。


6. Credits, Paid Features, and Plans / Credit、付費功能及方案

6.1 The Platform operates a "mii credits" virtual-currency system and per-plan feature entitlements. Full commercial terms (pricing, refunds, taxes, currencies) are set out in the separate Payment Terms, which are incorporated into these Terms by reference.

本平台採用**「mii credits」虛擬貨幣系統及按方案之功能權益制度。完整商務條款 (定價、退款、稅項、貨幣)載於獨立之付款條款**,並以引用方式納入本條款。

6.2 Credits are not money, are not redeemable for cash (except where required by applicable law), and have no value outside the Platform. Unlocked feature entitlements are lifetime for the unlocking Client entity but non-transferable and terminate if these Terms or the account are terminated for cause.

Credit 非貨幣,除適用法律要求外不可兌換現金,在本平台以外並無價值。 已解鎖之功能權益就該解鎖之 Client 實體而言屬終身有效,惟不可轉讓,且於本 條款或帳戶因閣下過失而終止時一併終止。

6.3 Feature availability may depend on the plan type assigned to your Client entity. We may adjust pricing or feature definitions prospectively on notice; existing unlock records are honoured under the rules in Section 6 of the Payment Terms.

功能可用性可能因分配予閣下 Client 實體之方案類型而異。我們可於預先通知下調整 定價或功能定義,惟已存在之解鎖紀錄將依付款條款第 6 條之規則繼續有效。


7. Third-Party Services / 第三方服務

7.1 The Service integrates with third-party providers, which may include: Stripe (payments), messaging delivery services, Cloudflare Turnstile (bot protection), email delivery providers, and map providers. Your use of those features is also subject to the respective third-party terms.

本服務整合多項第三方供應商,可能包括:Stripe(付款)、通訊傳送服務、 Cloudflare Turnstile(機器人防護)、電郵發送服務商及地圖供應商。閣下使用該等 功能亦須遵守相關第三方之條款。

7.2 We do not control third-party services and are not responsible for their availability, security, or content. Outages of third-party services may cause parts of the Platform to become temporarily unavailable.

我們不控制第三方服務,亦不就其可用性、安全性或內容負責。第三方服務之故障可 能導致本平台部分功能暫時無法使用。


8. Availability, Beta Features, and Changes / 可用性、測試版功能及變更

8.1 The Service is provided on an "as available" basis. We target high availability but do not guarantee uninterrupted, error-free operation. We may carry out maintenance, release updates, or modify features at any time.

本服務按「可供使用」基準提供。我們致力維持高可用性,惟不保證不中斷或無錯誤 運作。我們可隨時進行維護、發布更新或修改功能。

8.2 Features labelled "beta", "preview", or "experimental" are provided for evaluation and may be changed or discontinued without notice, and carry no availability commitment.

標示為「測試版」、「預覽版」或「實驗性」之功能僅供評估使用,可於不另行通知 情況下變更或終止,且不作任何可用性承諾。


9. Intellectual Property / 智慧財產權

All rights, title, and interest in the Service, including the software, UI, mii brand, logos, documentation, templates, and any improvements, are and remain the exclusive property of the Operator and its licensors. No rights are granted to you except those expressly stated in these Terms.

本服務之一切權利、所有權及權益,包括軟件、用戶介面、mii 品牌、標誌、文件、模 板及任何改進,均為營運商及其授權人之專屬財產並繼續保留。除本條款明文授予者 外,閣下不享有任何權利。


10. Privacy / 私隱

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

閣下使用本服務亦受我們之私隱政策規範,該政策以引用方式納入本條款。


11. Warranties & Disclaimers / 保證與免責

11.1 Except as expressly stated in these Terms and to the maximum extent permitted by applicable law, the Service is provided "as is" and "as available" without warranty of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, accuracy, quiet enjoyment, and non-infringement.

除本條款明文規定及在適用法律允許之最大範圍內,本服務按「現狀」及「可供使 用」基準提供,不附帶任何明示、默示、法定或其他形式之保證,包括適銷性、特定 用途適用性、準確性、不受干擾使用及不侵權之保證。

11.2 We do not warrant that the Service will meet your requirements, be compatible with your devices, or produce any specific commercial outcome.

我們不保證本服務能滿足閣下之需求、與閣下之裝置相容或產生任何特定商業成果。


12. Limitation of Liability / 責任限制

12.1 To the maximum extent permitted by applicable law, in no event will the Operator, its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profit, revenue, data, goodwill, or business opportunity, arising out of or in connection with the Service or these Terms, even if advised of the possibility of such damages.

在適用法律允許之最大範圍內,營運商、其關聯公司、高級職員、董事、僱員、代 理人或授權人概不就因本服務或本條款所引起或相關之任何間接、附隨、特殊、衍生、 懲戒性或懲罰性損害,或利潤、收入、資料、商譽或商業機會之損失承擔責任,縱使 已被告知該等損害之可能性亦然。

12.2 Subject to Section 12.3, the Operator's aggregate liability arising out of or in connection with the Service or these Terms during any 12-month period shall not exceed the greater of (a) the total fees actually paid by you to the Operator during that 12-month period and (b) HKD 780.

在不抵觸第 12.3 條之前提下,營運商於任何 12 個月期間內,因本服務或本條款所 引起或相關之累計責任,不超過以下較高者:(a)閣下於該 12 個月期間內實際向營 運商支付之全部費用;及(b)港幣 780 元。

12.3 Nothing in these Terms limits liability that cannot be limited under applicable law, such as liability for fraud, gross negligence, death, or personal injury caused by negligence.

本條款任何內容概不限制依適用法律不能限制之責任,例如欺詐、嚴重疏忽、疏忽導 致之死亡或人身傷害之責任。


13. Indemnity / 賠償承諾

You agree to indemnify, defend, and hold harmless the Operator and its affiliates from and against any third-party claim, loss, damage, fine, or expense (including reasonable legal fees) arising out of (i) your User Content, (ii) your breach of these Terms, (iii) your violation of any law or third-party right, or (iv) any dispute between you and your guests or between you and your Clients / Agents.

閣下同意就下列各項引起之第三方索賠、損失、損害、罰款或費用(包括合理律師 費),對營運商及其關聯公司作出賠償、抗辯及使其免受損害:(i) 閣下之用戶內 容;(ii) 閣下違反本條款;(iii) 閣下違反任何法律或第三方權利;或 (iv) 閣下與 賓客之間,或閣下與 Client / Agent 之間之任何爭議。


14. Suspension & Termination / 暫停與終止

14.1 You may close your account at any time.

閣下可隨時關閉帳戶。

14.2 We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe that (i) you are in material breach of these Terms, (ii) your use poses a security, legal, or reputational risk, (iii) you fail to pay fees when due, or (iv) we are legally required to do so.

如我們合理認為 (i) 閣下實質違反本條款、(ii) 閣下之使用構成安全、法律或聲譽 風險、(iii) 閣下未能按期支付費用,或 (iv) 我們依法須如此行事,則我們可於預 先或未預先通知之情況下,暫停或終止閣下使用本服務之權利。

14.3 Upon termination: licence rights cease; unlocked entitlements associated with the terminated account may be suspended or forfeited; refunds (if any) are governed by the Payment Terms; personal data is handled under the Privacy Policy.

終止後:授權權利即告終止;與已終止帳戶相關之已解鎖權益可能被暫停或沒收;退 款(如有)依付款條款處理;個人資料按私隱政策處理。


15. Changes to the Terms / 本條款之變更

We may update these Terms to reflect legal, regulatory, or product changes. We will provide reasonable notice (for material changes, by in-app notice and/or email) and the effective date at the top of this page. Continued use after the effective date constitutes acceptance.

我們可更新本條款以反映法律、監管或產品變動。就重大變更,我們會作合理通知 (包括應用程式內通知及/或電郵),並於本文件頂部列明生效日期。於生效日期後繼 續使用即構成接受。


16. Governing Law & Dispute Resolution / 適用法律及爭議解決

16.1 These Terms are governed by the laws of the Hong Kong Special Administrative Region of the People's Republic of China, without regard to its conflict-of-laws rules.

本條款受中華人民共和國香港特別行政區法律管轄,並不適用其法律衝突規則。

16.2 Subject to mandatory consumer-protection laws of your place of residence, any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the Hong Kong Special Administrative Region.

在不抵觸閣下居住地強制性消費者保護法律之前提下,任何因本條款所引起或相關之 爭議,均受香港特別行政區法院之專屬管轄。

16.3 Nothing in this Section prevents a party from seeking urgent injunctive or equitable relief in any court of competent jurisdiction.

本條任何內容概不阻止任何一方於具管轄權之法院尋求緊急禁制令或衡平法救濟。


17. Miscellaneous / 其他條款

  1. Entire agreement / 完整協議 — these Terms, the Privacy Policy, and the Payment Terms constitute the entire agreement between the parties regarding the Service. 本條款、私隱政策及付款條款構成雙方就本服務之完整協議。
  2. Severability / 可分割性 — if any provision is held invalid, the remainder remains in force. 如任何條文被裁定無效,其餘條文仍然有效。
  3. Assignment / 轉讓 — you may not assign these Terms without our consent; we may assign to an affiliate or in connection with a reorganisation, merger, or sale. 未經我們同意,閣下不得轉讓本條款;我們可轉讓予關聯公司,或於重組、合併或 出售中轉讓。
  4. No waiver / 不放棄權利 — failure to enforce any right is not a waiver. 未行使任何權利不構成放棄該權利。
  5. Notices / 通知 — legal notices to us must be sent to [email protected] (subject: Legal Notice); notices to you will be sent to the email address on your account. 對我們之法律通知須發送至 [email protected](主旨:法律通知);對閣下之通 知將發送至閣下帳戶上之電郵地址。
  6. Contact / 聯絡 — general support: [email protected] (subject: Support Request). 一般支援:[email protected](主旨:支援請求)。
